Registration by the court of the change in the Articles of Association of TIM S.A.

TIM S.A. based in Wrocław_hereinafter referred to as: the “Company”_, acting pursuant to Article § 5(1) and § 6 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising information required by the laws of a non-member state as equivalent, announces that, on 22 March 2024, it received the decision of the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register, to make an entry in the National Court Register – Register of Entrepreneurs on the amendment to paragraph 8(1) of the Company’s Articles of Association made under Resolution No. 1/11.03.2024 of the Management Board of TIM S.A. on increasing the share capital through the issue of series G bearer shares within the statutory capital with the full exclusion of the shareholders’ pre-emptive right with regard to series G shares and on amending the Articles of Association.
After the amendment referred to above, Article 8(1) of the Articles of Association of TIM S.A. is worded as follows:
“paragraph 8(1).
1. The Company’s share capital amounts to PLN 22,933,066.00_twenty-two million nine hundred and thirty-three thousand and sixty-six zlotys_, divided into 22,933,066_in words: twenty-two million nine hundred and thirty-three thousand and sixty-six_ordinary bearer shares with a nominal value of PLN 1_in words: one zloty each), comprising:
1_100,000 _in words: one hundred thousand_ series A shares,
2_2,900,000 _in words: two million nine hundred thousand_ series B shares,
3_1,800,000 _in words: one million eight hundred thousand_ series C shares,
4_15,580,000 _in words: fifteen million five hundred and eighty thousand_ series D shares,
5_619,200 _in words: six hundred and nineteen thousand two hundred_ series E shares,
6_1,200,000 _in words: one million two hundred thousand _ series F shares,
7_733,866 _in words: seven hundred and thirty-three thousand eight hundred and sixty-six_series G shares.”

The date of registration by the Court of the aforementioned amendment to the Articles of Association of TIM S.A. is 22 March 2024.

The total number of votes attached to all issued shares is 22,933,066. One TIM S.A. share gives the right to one vote at the General Meeting of TIM S.A.

The aforementioned increase in the share capital of TIM S.A. followed the adoption by the Management Board of TIM S.A. on 11 March 2024 of Resolution No. 1/11.03.2024 on the increase of the share capital through the issue of series G bearer shares within the statutory capital with the complete exclusion of the shareholders’ pre-emptive right with regard to series G shares and on amending the Articles of Association. The Company announced the adoption of the aforementioned resolution by the Management Board of TIM S.A. on 11 March 2024 in Current Report No. 15/2024.

Following the aforementioned issue of series G shares of TIM S.A., the current amount of the statutory capital left to be subscribed for amounts to PLN 366,934.
