Recommendation of the Management Board of TIM S.A. regarding the distribution of profit for 2022

The Management Board of the TIM S.A. informs that on 24 April 2023 it drew up a proposal for the Ordinary General Meeting of TIM S.A. regarding the distribution of the net profit disclosed in the financial statements of TIM S.A. prepared for the financial year ended 31 December 2022, according to which the Management Board od TIM S.A. proposes the allocation of:
– net profit in the amount of PLN 29,968,920 (in words: twenty-nine million nine hundred and sixty-eight thousand nine hundred and twenty zlotys) for the dividend for 2022, with the proviso that the above-mentioned amount was paid to the shareholders on 23 December 2022, pursuant to a resolution of the Management Board of TIM S.A. No. 1/Z/16.11.2022 adopted on 16 November 2022 as an advance payment towards the expected dividend at the end of 2022,
– the remaining part of the generated net profit for supplementary capital.
The Management Board of TIM S.A. made public the payment of the proposed dividend in current report No. 33/2022 of 16/11/2022.
Proposal of the Management Board of TIM S.A. on the distribution of the profit earned in 2022 is consistent with the information of the Management Board of TIM S.A. regarding the payment of dividend for 2022, published in current report No. 15/2023 of 27 March 2023.
At the same time, the Management Board of TIM S.A. announces that pursuant to Article 382(3) of the Commercial Companies Code the above-mentioned proposal was submitted to the Company’s Supervisory Board, which approved it on 24 April 2023.
The final decision on the distribution of profit for the financial year 2022 is made by the Ordinary General Meeting of the Company.
