Notification on the disposal of stock of TIM S.A.

The Board of TIM S.A. with its registered seat in Wrocław, acting on the basis of Article 70, section 1 of the Act on Public Offering and the conditions for introducing financial instruments into an organized trading system and public companies makes public that on 21 April 2015 the Company was informed by ING Towarzystwo Funduszy Inwestycyjnych S.A. [investment fund company] (hereinafter referred to as “the Fund Company”, acting on behalf of ING Parasol Fundusz Inwestycyjny Otwarty, that the number of stocks of TIM S.A. held by ING Parasol Fundusz Inwestycyjny Otwarty decreased below 5%.

The reason for the change of share in the total number of votes at the General Meeting of Shareholders of TIM S.A. was the disposal of the Company’s stocks on 17 April 2015.
In accordance with the Fund Company’s statement, before the change in the share ING Parasol Fundusz Inwestycyjny Otwarty held 1,215,828 stocks of TIM S.A., which constituted a share of 5.48% of the share capital of the Company. Prior to the change in share stocks held by ING Parasol Fundusz Inwestycyjny Otwarty constituted 1,215,828 votes at the General Meeting of TIM S.A., which constituted 5.48% of the total number of votes at the General Meeting of the Company.
As of 21 April 2015 ING Parasol Fundusz Inwestycyjny Otwarty held 777,589 stocks of TIM S.A. which granted right to 777,589 votes at the General Meeting of the Company which constitutes the share of 3.50% in the share capital of TIM S.A. and in the total number of votes at the General Meeting of the Company.
