Notification on exceeding 15% of votes in the total number of votes in TIM SA

Management Board of TIM SA with its registered office in Wrocław, acting in accordance with Art. 70, point 1 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and on Public Companies hereby notifies the public that on 10 October 2016 the Company was informed by ALTUS Towarzystwo Funduszy Inwestycyjnych S.A. _hereinafter referred to as “Towarzystwo”_, acting on behalf of the funds managed by Towarzystwo, that the funds managed by Towarzystwo have exceeded the threshold of 15% of votes in the total number of votes in TIM SA.

Exceeding the threshold of 15% of the total number of votes in the Company was due to the settlement of the transaction of acquisition of 103 868 Company shares on the regulated market on 04 October 2016.
According to the representation of Towarzystwo, before the change in the share the funds managed by Towarzystwo had owned 3 282 607 shares of TIM S.A., which represented a share of 14.79% in the Company’s share capital. Before the change in the share, the shares owned by the funds managed by Twarzystwo gave 3 282 607 votes at the general meeting of the Company which represented 14.79% of the total number of votes at the General Meeting of TIM SA.
According to the status as at 10 October 2016 the funds managed by Towarzystwo owned 3 386 475 shares of TIM SA which entitled to 3 386 475 votes at the general meeting of the Company, which represents the share of 15.25 % in the share capital of TIM SA and in the overall number of votes at the General Meeting of TIM SA.
According to the representation of Towarzystwo, over the next 12 months Towarzystwo does not rule out the acquisition or the sale of the Company shares depending on the market situation, information coming from the Company and the needs of the investment portfolio of the funds managed by Towarzystwo.
The total number of shares and votes at the General Meeting of TIM SA is 22 199 200.
According to the representation of Towarzystwo, there are no entities that are subsidiary to shareholders sending the notification that own shares of TIM SA, as also there are no persons referred to in Art. 87, sec. 1, point 3, letter c of the above-mentioned Act in relation to the shareholders.
