Notification of subscriptions for the sale of TIM S.A. shares under the announced call

With reference to the current report No. 14/2023 of 24 March 2023, the Management Board of TIM S.A. with its registered office in Wrocław (“Company”) informs that on 27 April 2023 it received information about the Company’s shareholders’ – Krzysztof Folta, Piotr Nosal, Maciej Posadze, Piotr Tokarczuk, Ewa Folta, Krzysztof Wieczorkowski and Jan Walulik (“Shareholders”) – subscriptions for the sale of TIM S.A. shares held by Shareholders. as part of the call announced on 20 April 2023 by FEGA _ Schmitt Elektrogroßhandel GmbH to subscribe for the sale of all shares of the Company (“Call”).
According to the above information:
(i) Krzysztof Folta subscribed for the sale of 4,600,000 shares in the Company representing 20.72% of the Company’s share capital and carrying 4,600,000 votes constituting 20.72% of the total number of votes at the Company’s General Meeting;
(ii) Piotr Nosal subscribed for the sale of 14,241 shares in the Company representing 0.06% of the Company’s share capital and carrying 14,241 votes constituting 0.06% of the total number of votes at the Company’s General Meeting;
(iii) Maciej Posadzy subscribed for the sale of 183,626 shares in the Company representing 0.83% of the Company’s share capital and carrying 183,626 votes constituting 0.83% of the total number of votes at the Company’s General Meeting;
(iv) Piotr Tokarczuk subscribed for the sale of 202,000 shares in the Company representing 0.91% of the Company’s share capital and carrying 202,000 votes constituting 0.91% of the total number of votes at the Company’s General Meeting;
(v) Ewa Folta subscribed for the sale of 604,814 shares in the Company representing 2.72% of the Company’s share capital and carrying 604,814 votes constituting 2.72% of the total number of votes at the Company’s General Meeting;
(vi) Krzysztof Wieczorkowski subscribed for the sale of 3,000,000 shares in the Company representing 13.51% of the Company’s share capital and carrying 3,000,000 votes constituting 13.51% of the total number of votes at the Company’s General Meeting;
(vii) Jan Walulik subscribed for the sale of 710,400 shares in the Company representing 3.20% of the Company’s share capital and carrying 710,400 votes constituting 3.20% of the total number of votes at the Company’s General Meeting.
The above subscriptions cover 9,315,081 shares in the Company representing 41.96% of the Company’s share capital and carrying 9,315,081 votes constituting 41.96% of the total number of votes at the Company’s General Meeting.
