Establishment of a mortgage

Management Board of TIM SA with its registered office in Wrocław acting pursuant to § 5, sec. 1 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodical information published by issuers of securities as well as the conditions for the recognition as equivalent of the information required by legal regulations of the country that is not the Member State (Journal of Laws of 2009, No. 33, item 259, as amended) hereby notifies that on 08 September 2015 the Company received from the District Court in Oława, IV Land and Mortgage Registry Division a notification of 28 August 2015 of the following entries:

1) a contractual mortgage up to the amount of PLN 7.5 mln (in words: seven million zlotys) established on the perpetual usufruct right to the land and the related title to the buildings of the real property located in Siechnice at ul. E. Kwiatkowskiego 24 for which the District Court in Oława, IV Land and Mortgage Registry Division maintains a Land and Mortgage Register number KW WR1O/00061572/9, in favour of mBank SA, as a collateral for the credit agreement of 14.11.2005, as amended, in the form of an overdraft facility. The amount of the overdraft facility, referred to above, constitutes the amount of PLN 5 mln (in words: five million zlotys),
2) contractual mortgage up to the amount of PLN 7.5 mln (in words: seven million zlotys) – II entry, established on the perpetual usufruct right to the land and the related title to the buildings of the real property located in Siechnice at ul. E. Kwiatkowskiego 24 for which the District Court in Oława, IV Land and Mortgage Registry Division maintains a Land and Mortgage Register number KW WR1O/00061572/9, in favour of mBank SA, as a collateral for the credit agreement of 22.05.2014, as amended, in the form of a revolving credit. The amount of the revolving credit, referred to above, constitutes the amount of PLN 5 mln (in words: five million zlotys),

The information on the conclusion of credit agreements, referred to above, was announced to the public by TIM SA in the current report No. 16/2015 announced to the public on 25.05.2015.
The net book value of the assets, on which the mortgage was established, as at 30.06.2015 amounts to PLN 9.8 million in the Company’s accounting books.
In addition, pursuant to § 7, point 5 of the Regulation of the Minister of Finance of 19.02.2009 on current and periodical information (..) the Management Board of TIM SA with its registered office in Wrocław notifies that there are no connections between the Issuer and the persons managing or supervising the Issuer and the entity in favour of which the mortgage was established and the persons managing it.
The amount of the established mortgage exceeds the equivalent of EUR 1,000,000.00 expressed in zlotys.
