Completion of subscription of series G shares

The Management Board of TIM S.A. based in Wrocław_ the “Company” or the “Issuer”_ announces that on 25 April 2024 the private subscription of 366,934 series G shares with a nominal value of PLN 1.00 each was completed.
Series G shares were offered by way of private subscription as defined in the Act of 15 September 2000 – Commercial Companies Code. The subscription of series G shares was effected under the resolution of the Management Board of TIM S.A. of 25 April 2024 on increasing the share capital through the issue of series G bearer shares within the statutory capital with the full exclusion of the shareholders’ pre-emptive right to series G shares and on amending the Articles of Association.
Information on the private subscription:
1_date of commencement and completion of the subscription – the offer to subscribe for the shares was made to the eligible persons on 25 April 2024, and the acceptance of the offers and the conclusion of the agreements to subscribe for the shares took place on 25 April 2024;
2_date of allotment of shares – not applicable, the subscription of shares was made by private subscription, no allotment was made;
3_number of shares subscribed – 366,934 series G ordinary bearer shares;
4_reduction rate in individual tranches – not applicable. Due to the type of subscription, the reduction did not occur. The Shares were subscribed for privately, so no subscriptions were made for the Shares. All persons who were offered to conclude agreements to subscribe for Shares concluded such agreements;
5_number of shares subscribed for – agreements to subscribe for 366,934 series G ordinary bearer shares were concluded as part of the subscription;
6_number of shares allotted under the subscription – not applicable;
7_price at which the securities were subscribed for – PLN 10.34;
8_number of persons who subscribed _i.e. accepted offers to subscribe for shares_ for the shares subscribed for – 15 persons;
9_number of persons who were allotted _i.e. with whom agreements to subscribe for shares were concluded_ shares under the subscription – 15 persons;
10_name _company_ of the underwriters who subscribed for securities in performance of the underwriting agreements, specifying the number of securities they subscribed for, together with the actual price per unit of the security, being the issue or sale price, after deducting the remuneration for subscribing for a unit of security, in performance of the underwriting agreement, acquired by the underwriter – not applicable. No underwriting agreements were concluded;
11_value of the subscription, understood as the product of the number of shares covered by the offer and the issue price – PLN 3,794,097,56;
12_amount of total costs included in the costs of the issue – PLN 6,083.42;
13_average cost of conducting the subscription per entity of shares subscribed for – PLN 0.01;
14_method of payment for the shares subscribed for – the shares were subscribed for in exchange for cash contributions.
