Cancellation by 3LP S.A. of the public offering of stocks

TIM S.A. with its registered office in Wrocław _hereinafter: “TIM S.A.” or the “Issuer”_ announces that on 26 September 2022 it received information from 3LP S.A. – a subsidiary (hereinafter: “3LP S.A.” or the Company” _, stating that on 26 September 2022 the Management Board of 3LP S.A. resolved to cancel the public offering of series E stocks of 3LP S.A., and consequently to withdraw from implementation of Resolution no. 6/20.09.2021 of the Extraordinary General Assembly of the Company approved on the 20.09.2021 concerning registration of stocks of 3LP S.A. at KDPW and application for admission and introduction of series A, B, C and E stocks of 3LP S.A. and rights to series E stocks of the Company to turnover at the regulated market operated by Giełda Papierów Warszawie w Warszawie S.A., and that the Management Board of 3LP S.A. resolved not to take any further action concerning admission and introduction of all stocks of 3LP S.A. to turnover at the regulated market operated by GPW or concerning registration of 3LP S.A. shares at KDPW.
According to the information received from 3LP S.A., the above decision was taken in connection to unfavourable market conditions, high volatility and uncertainty on capital markets. The Management Board of 3LP S.A. also informed that it will consider the possibility of conducting a public offering in the future when market conditions are more favourable.

Information on commencement of preparatory works for the initial public offering _IPO_ of stocks of 3LP S.A. was communicated by TIM S.A. to the public in Current Report 21/2021 of 17 June 2021. In Current Report No. 29/2021 of 2 November 2021, the Issuer announced that 3LP S.A. submitted an application for approval of the prospectus by the Polish Financial Supervision Authority. In the current report no. 10/2022 of 9 May 2022, TIM S.A. announced the suspension by 3LP S.A. of the offer to sell shares.
