Acquisition of shares by a Member of the Management Board – Exceeding the Threshold of 20% of the Total Number of Votes at the General Meeting of TIM SA

Management Board of TIM SA hereby announces to the public the information that on 22.12.2015 Mr. Krzysztof Folta – President of the Management Board of TIM SA, notified the Company of the acquisition of shares of TIM SA as a result of which the threshold of 20% of the total number of votes at the General Meeting of TIM SA held by Ewa and Krzysztof Folta was exceeded.

According to the representation of Ms. Ewa and Mr. Krzysztof Folta:
– on 17.12.2015 Mr. Krzysztof Folta acquired 28,010 shares if TIM SA at the average price of PLN 9 (nine zlotys) per share, and on 18.12.2015 Mr. Krzysztof Folta acquired 4,775 shares at the average price of PLN 9 (nine zlotys) per share.
– the transactions, referred to above, were effected at the Stock Exchange in the ordinary session transactions,
– prior to entering into the transaction, referred to above, Mr. Krzysztof Folta together with his wife Ewa Folta owned 4,411,215 shares of TIM SA, which represents a share of 19.87% of shares in the share capital of TIM SA and entitles to 4,411,215 votes at the General Meeting of the Company, which represents a share of 19.87% of the total number of votes at the General Meeting of the Company,
– after entering into the transaction, referred to above, Mr. Krzysztof Folta together with his wife Ewa Folta owned 4,444,000 shares of TIM SA, which represents a share of 20.02% of shares in the share capital of TIM SA and entitles to 4,444,000 votes at the General Meeting of the Company, which represents a share of 20.02% of the total number of votes at the General Meeting of the Company,
– exceeding the threshold of 20% of the total number of votes at the General Meeting of TIM SA was the result of acquisition of the shares of TIM SA on 18.12.2015,
– there are no persons, referred to in Art. 87, sec. 1, point 3, letter c of the Act of 29.07.2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading System and Public Companies.
